Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Murhaf Abulees, operating as Last-Slide ("Last-Slide", "we", "us"), and govern your access to and use of the Last-Slide website, applications, and related services (the "Service"). If you do not agree to these Terms, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old (or 16 in the EEA / UK) and able to form a binding contract under applicable law. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it current.

2. License from us

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved by us.

3. Your content

You retain ownership of content you submit, upload, or publish through the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as formatting or compression), display, transmit, and otherwise use Your Content as necessary to operate, provide, and improve the Service. You represent and warrant that you have all rights necessary to grant this license and that Your Content does not violate these Terms or any applicable law or third-party right.

If you choose to make content public or share it through collaborative or interactive features, you understand that such content may be accessed, copied, stored, or redistributed by others, and you accept the risks of doing so.

4. Acceptable use

You agree not to use the Service to:

• Submit, transmit, or publish content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative of minors, or otherwise objectionable;
• Violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights);
• Send unsolicited communications, spam, phishing, or scams;
• Distribute malware, mine cryptocurrency, conduct unauthorized network activity, or otherwise abuse, probe, or interfere with the Service or its infrastructure;
• Attempt to reverse engineer, decompile, scrape, or otherwise derive the source or operation of the Service except to the limited extent expressly permitted by applicable law;
• Circumvent any access, security, or rate-limiting controls;
• Resell, sublicense, or commercially redistribute the Service without our prior written consent.

We may, at our sole discretion and without notice, investigate, remove, or refuse to display any content, and suspend or terminate any account that we believe violates these Terms or that we otherwise determine is harmful to us, our users, or third parties.

5. Feedback

If you provide us with suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use that feedback for any purpose without any obligation to you.

6. Paid plans

Some features may require a paid plan. Paid plans are billed in advance on a recurring basis and renew automatically until cancelled. Fees are non-refundable except where required by law. We may change plan features, limits, or pricing at any time; changes will apply on the next renewal unless we say otherwise. Payments are handled by our payment processor, whose terms apply to the payment flow.

7. Beta and changing features

We may label features as "beta", "preview", or similar. Such features are provided as-is, may be changed, suspended, or discontinued at any time without notice, and are excluded from any service commitments. The Service generally is evolving; features may be added, modified, or removed at our discretion.

8. Service availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may take the Service offline for maintenance or any other reason without prior notice.

9. Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and for any reason or no reason, with or without notice. Upon termination your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, license to feedback, disclaimers, liability limits, indemnity, governing law, and dispute resolution) will survive.

10. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND"AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, OR BE FREE OF ERRORS OR HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LAST-SLIDE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Last-Slide and its officers, employees, agents, and contractors from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to (a) Your Content, (b) your use of the Service, (c) your breach of these Terms, or (d) your violation of any applicable law or third-party right.

13. Third-party services

The Service may rely on or link to third-party services or content that we do not control. We are not responsible for, and make no representations about, any third-party services or content, and your interactions with them are at your own risk.

14. Force majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, power or network failures, denial-of-service attacks, or third-party service interruptions.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date above. For material changes we will provide reasonable notice through the Service or by email. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

16. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Kuwait, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be submitted to the exclusive jurisdiction of the courts located in Kuwait City, State of Kuwait, and the parties consent to that jurisdiction and venue. Nothing in this section overrides any mandatory protections under the consumer-protection laws of your country of residence.

17. Miscellaneous

• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreement.
• Severability: if any provision is held unenforceable, the remaining provisions will continue in full force and effect.
• No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice to you.
• No agency: nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and us.
• Headings are for convenience only and do not affect interpretation.
